1. Acceptance of these Terms

These Terms of Service ("Terms") govern your use of the Partenio platform ("Partenio", "the platform", "we"), available at this domain. By creating an account or otherwise using the platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use the platform.

2. About Partenio

Partenio is currently operated directly by its founder rather than through a separately registered company. Formal company registration details (legal name, registration number, registered address) will be added here once that incorporation is complete.

Partenio is a B2B platform connecting companies looking for business partners — suppliers, buyers, or collaborators — through requests, offers, and an automated matching engine.

3. Eligibility and business-only use

Partenio is intended exclusively for use by businesses and their authorized representatives, for genuine commercial purposes (sourcing, sales, business partnerships). It is not intended for individual consumers acting for personal purposes.

• You must be at least 18 years old and legally authorized to represent the company on whose behalf you create an account.
• Information you provide about yourself and your company must be accurate, complete, and kept up to date.
• One account is tied to one company per member; creating multiple accounts to circumvent plan limits or other restrictions is prohibited.

4. Your account and its security

You are responsible for keeping your password confidential and for all activity that occurs under your account. Notify us immediately, at the contact address below, if you suspect unauthorized access to your account.

We reserve the right to suspend or close accounts that provide false information, violate these Terms, or show signs of fraudulent activity.

5. Company profiles and listings (requests/offers)

You are solely responsible for the content you publish — your company description, requests, offers, images, and any other material. Content must be accurate, lawful, and must not infringe the rights of third parties.

• Publishing illegal, deceptive, discriminatory content, or content promoting goods/services prohibited by applicable law, is not allowed.
• Using the platform to publish fake listings purely to generate traffic or harvest contact details without genuine commercial intent is not allowed.
• We reserve the right to remove any content that violates these Terms, without prior notice where circumstances require it.

6. Subscription plans, promotions, and billing

Certain features (Growth/Premium plans, promoted or sponsored listings) are available for a fee, at the pricing shown on the pricing page at the time of purchase. Payments are processed entirely through Stripe — Partenio never stores your full card details.

Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from your billing dashboard; cancellation stops future renewal but does not automatically refund the current, already-billed period, except where required by law or explicitly communicated otherwise.

Listing promotions and sponsorships are one-time purchases with a fixed duration (in days), paid in full upfront; the price shown at the time the order is placed is final.

7. Prohibited conduct

You may not use Partenio to:

• Engage in fraud, money laundering, or financing of unlawful activity;
• Harass, threaten, or abuse other users through the platform's messaging;
• Scrape or automatically collect other companies' or users' data without their consent;
• Circumvent security mechanisms, test for vulnerabilities without prior written authorization, or disrupt the platform's operation;
• Resell or redistribute access to the platform to unauthorized third parties.

8. The matching engine — no guarantees

Partenio's matching engine suggests potential business partners based on criteria users provide (industry, category, country, keywords). These suggestions are indicative only and do not guarantee that any deal will close, the quality of any partner, or the outcome of any collaboration. Any negotiation, contract, or transaction resulting from a match happens directly between the companies involved, at their own sole responsibility — Partenio is not a party to those transactions.

9. Intellectual property

The platform, the Partenio brand, source code, design, and all associated technical elements remain the exclusive property of the operator. You retain your rights in the content you publish (descriptions, images), but you grant us a non-exclusive license to display and distribute it as part of operating the platform (including on-demand automatic translation of listings).

10. Third-party services

Partenio relies on third-party providers to operate: Stripe (payment processing), Google Cloud Platform (hosting, database, image storage), and an email delivery provider for transactional notifications. Use of these services is additionally governed by each provider's own terms.

11. Limitation of liability

The platform is provided "as is", without warranties of any kind, express or implied, regarding uninterrupted availability, error-free operation, or fitness for a particular purpose. To the maximum extent permitted by law, Partenio is not liable for indirect or incidental damages or lost profits arising from use of the platform or from transactions conducted between companies through it. Nothing in these Terms limits liability for fraud or for harms that cannot lawfully be limited.

12. Suspension and termination

You may close your account at any time from your account settings or by contacting us. We reserve the right to suspend or terminate access for an account that violates these Terms, with immediate effect in serious cases (fraud, unlawful activity) or with reasonable prior notice otherwise.

13. Changes to these Terms

We may update these Terms to reflect legal, functional, or business changes. Material changes will be communicated through the platform or by email at least 14 days before taking effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.

14. Governing law and dispute resolution

These Terms are governed by Romanian law. Any dispute that cannot be resolved amicably will be submitted to the competent courts of Romania, without prejudice to any mandatory consumer-protection rights you may have under the law of your own country, where applicable.
